Choosing a New Georgia Registered Agent

Is the registered agent reliable?

When it comes to registered agents, reliability is key. Can you trust that your new registered agent will always be available at their given address during regular business hours?

If you’re thinking of appointing a friend or family member, or even of switching to make yourself your own registered agent, you need to keep this in mind. While individuals are likely to step out, get sick, or go on vacation, companies that offer registered agent service always have staff available to accept service of process on your behalf.

How will your agent deliver your documents?

You need a registered agent that can get documents to you quickly and safely. That means you need to choose a registered agent that digitally delivers your documents rather than relying on physical delivery or forwarding, which can cause delays if you live far from your registered agent.

For registered agents who deliver documents digitally, you need to make sure that the resident agent you choose sends those documents securely. While we deliver documents through our online portal, some registered agent companies rely on email to send documents. Because email isn’t always very secure, this can put your sensitive legal information at risk of being accessed by people who shouldn’t have access to it.

Does your registered agent set limits on document size?

If you choose a registered agent who delivers documents by email, the agent might not be able to send you large documents because of limitations on file sizes sent by email. Because we send your documents to you through our secure online portal, we’re always able to scan and upload your full document, no matter how long it is.

You’ll never have to come physically pick up a document or pay to have it physically forwarded to you because it’s “too big to send.” Our portal allows us to save you time and money in a situation where both are of the essence.

The Risks of Not Having a Registered Agent

If you suddenly found yourself without a registered agent because yours has resigned, you’ll need to get a new agent fast in order to avoid missing any document deliveries and being in violation of state statutes.

Your legal documents will not be delivered if your registered agent isn’t there to receive them. So, if you don’t have a registered agent, you’re putting yourself in danger of missing important document deliveries and reminders from the state, which could put your company in legal jeopardy or cause you to miss an Annual Report deadline.

If the Secretary of State’s office is unable to get in contact with your company over a period of time, your company may be administratively dissolved by the state, or your authority to do business in Georgia may be revoked. If you continue to operate after this happens, you may be doing business in Georgia illegally. Additionally, you’ll face additional fees and paperwork to reinstate your company.

If a process server tries and fails to deliver a legal document multiple times, sometimes that document will be sent to you another way (for example, by certified mail). Then, even if you don’t receive the document, it will be marked as delivered by the state, which makes it possible for the party suing your company to receive a default judgment in their favor if you fail to appear in court. Additionally, if you miss the delivery of a subpoena that orders you to appear in court and you fail to show up, you may be held in contempt of court.

If you suddenly found yourself without a registered agent because yours has resigned, you’ll need to get a new agent fast. However, don’t make the mistake of choosing to become your own registered agent just to save time.

All of your business filings go on the state public record and become available to the public through the Georgia Business Search database. That means that every name and every address on your business filings is accessible to anyone who looks up your business using this database. If you choose to serve as your own registered agent and use your home address, you are making it possible for upset customers, scammers, and anyone else to find your home and come knocking on your door.

Avoid the negative consequences of not having a registered agent by switching to our service today.

How To Change Your Georgia Registered Agent

If you’d like to switch to Virtual Office Georgia LLC, here’s how you do it.

Order registered agent service

First, you’ll need to sign up for Registered Agent Service because you’ll need to provide our registered agent information on the paperwork you file to change your registered agent with the Georgia Secretary of State. You’ll have access to your online account right after you order, and we’ll also email your registered agent information to you shortly after you sign up.

File your paperwork with the state

After you’ve signed up for registered agent service, there are two ways to update your registered agent information with the state: when you file your Annual Registration or by filing an Amended Annual Registration.

Here’s what you’ll need to do if you choose to file yourself:

1. Annual Registration: Your Annual Registration (your company’s annual report) is due every year by April 1st. If you haven’t yet filed your Annual Registration for the year, you can update your registered agent information when you do.

The filing fee varies according to the type of business entity you own. The fee for LLCs and corporations is $60 ($50 filing fee +$10 service charge). Filing can be completed online using the Georgia Corporations Division eCorp filing tool or by printing out the Annual Registration form and mailing it in.

2. Amended Annual Registration: If it’s after April 1st and you’ve already filed your Annual Registration, you’ll need to file an Amended Annual Registration form to update your registered agent information.

The fee to file an amended annual registration is $30. You can file online using the eCorp filing tool. You can also print out the  LLC Amended Annual Registration form or the Corporations Amended Annual Registration form and send it by mail.

3. To avoid the paperwork altogether, you can hire us to file your Amended Annual Registration form for you when you sign up for registered agent service. Change of Agent Filing Service is $25 plus the state filing fee for a total of $55.

View documents in your portal

Once we’re officially your registered agent and you’ve updated your information with the state, we provide you with registered agent service for a year. During this time, whenever a legal document or notice is delivered on behalf of your company, our trained staff will scan and upload that document to your online portal.

All documents are scanned the same day they’re delivered, and we’ll email you a notification once your document is ready so that you can view it immediately.

Easily file your Annual Report

To help ensure that you don’t end up paying late fees on a late Annual Registration filing or even getting administratively dissolved by the state for failing to file, we include Renewal Service for annual report filing with Registered Agent Service.

A few months before your report is due, we’ll send an email reminder and let you know that we’ll soon be filing on your behalf. After that, we’ll file your report so you don’t have to spare it a second thought.

Renewal Service is $100 plus the state filing fee, charged at filing. If you want to file your own report, just cancel the service in your portal.

Renew Your Service

After a year, it’s time to renew. We’ll email you a reminder so that you can sign up for another year and continue to enjoy our registered agent service.
